Proprietary licence for software — including games and applications — distributed on Mebobox platforms

About this licence. A developer applies this licence to keep their software proprietary while distributing it on the Mebobox platforms. It is the commercial alternative to choosing an open-source licence. In it, "the Developer" is the owner of the software, and "you" is the person who obtains or uses it.

1. Definitions

• "Developer" (also "we", "us") means the owner of the Software that has applied this licence to it.
• "Software" means the software made available under this licence — including any game, application or other software — together with its code, artwork, audio, text and other content, and any updates the Developer makes available.
• "You" means the person who obtains or uses the Software.
• "Mebobox Platforms" means the platforms operated by Mebobox Ltd on which the Software is made available, including the Mebobox console and any other platform Mebobox operates. An "Authorised Device" is a device authorised by Mebobox to run the Software.
• "Library" means Mebobox's store, through which the Software is distributed (and any payment for it is processed) on the Mebobox Platforms.

2. Scope of this licence

2.1 This licence governs your use of the Software only as obtained on a Mebobox Platform, and applies only to copies of the Software published or distributed on the Mebobox Platforms.

2.2 The Developer may also distribute the Software on other (non-Mebobox) platforms under different terms; this licence does not extend to those copies.

3. Ownership

3.1 The Software and all intellectual property rights in it are, and remain, owned by the Developer (or its licensors). The Developer is responsible for developing and maintaining the Software.

3.2 This licence grants you the limited rights in clause 4 only, and transfers no ownership or intellectual property rights to you.

3.3 No transfer of ownership except by signed writing. Ownership of the Software (or any part of it) will not pass to any person by reason of purchase, download, payment or use. Ownership transfers only under a separate written instrument that expressly assigns it and is signed by the Developer.

4. Licence granted to you

4.1 Subject to your compliance with this licence, the Developer grants you a personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to download and use the Software on Authorised Devices for your own private, non-commercial use.

5. What you may not do

Except to the limited extent applicable law allows despite this restriction, you must not:

• (a) copy, distribute, sell, rent, lend, sub-licence or otherwise make the Software available to others;
• (b) modify, adapt, translate or create derivative works of the Software, or extract or reuse its code, assets, art, audio or other content;
• (c) reverse engineer, decompile or disassemble the Software, except to the extent this restriction cannot lawfully be excluded;
• (d) remove, obscure or alter any proprietary notices; or
• (e) circumvent any technical protection or security measures, or use the Software unlawfully.

6. Pricing and monetization

6.1 The Software may be provided free of charge.

6.2 The Developer reserves the right to charge for the Software, now or in the future, including for the Software, additional content or future versions. On the Mebobox Platforms, paid distribution is available only if and when Mebobox makes monetization available on its platforms, and is then carried out exclusively through Mebobox and the Library. Prior free availability does not waive this right.

6.3 Where you obtain the Software on a Mebobox Platform, any purchase is made through the Library (Mebobox's store). Your statutory consumer rights are unaffected.

7. Updates, maintenance and availability

7.1 The Developer is responsible for maintaining the Software and may release updates or patches. The Developer may change, suspend or discontinue the Software or its support at any time. Continued availability of the Software is not guaranteed.

8. Third-party and open-source components

8.1 The Software may include third-party or open-source components licensed under their own terms, listed in the Software's notices. Those terms govern those components and prevail over this licence to the extent of any conflict, for those components only.

9. Privacy

9.1 The Software does not collect, store, transmit or share any personal data, analytics, telemetry or other information about you. This reflects the Mebobox Platforms' privacy-first, child-safe design.

10. No warranty

10.1 To the maximum extent permitted by law, the Software is provided "as is" and "as available", and the Developer disclaims all implied warranties, including satisfactory quality, fitness for a particular purpose and non-infringement.

10.2 Nothing in this licence excludes or limits your mandatory rights as a consumer under applicable law.

11. Limitation of liability

11.1 To the maximum extent permitted by law, the Developer is not liable for any indirect or consequential loss, or for loss of profits, data or goodwill, arising from the Software.

11.2 The Developer's total liability arising out of or in connection with the Software is limited to the amount (if any) you paid for it.

11.3 Carve-out. Nothing in this licence excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be excluded.

12. Term and termination

12.1 This licence applies while you use the Software and continues until it ends. It ends automatically if you breach it, or if the Software stops being available to you on the Mebobox Platforms. When it ends, you must stop using and delete your copies of the Software.

13. Trademarks

13.1 The Software's name, logos and related marks are trademarks of the Developer. This licence grants you no right to use them.

14. General

14.1 This licence is the entire agreement between you and the Developer regarding the Software. If any provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver. This licence is governed by the laws of England & Wales, subject to any mandatory consumer protections in your country of residence.
